It’s official: Paramount, now Skydance, closed its $110 billion acquisition of Warner Bros. Discovery (WBD) on Tuesday.
-The deal closing marks the end of an almost yearlong effort by Paramount, which outbid Netflix for WBD in late February and then spent the last eight months overcoming various regulatory hurdles.
-Skydance celebrated the news Tuesday morning with a staff memo, in which Co-CEOs David Ellison and Ynon Kreiz described the company’s key priorities moving forward. Skydance especially aspires to become the most “technologically capable” media company, per the memo.
-Part of that plan, according to Skydance’s recent press release, includes unifying both direct-to-consumer streaming services, Paramount+ and HBO Max, into “a single service.”
–So, what’s the damage? Skydance faces approximately $80 billion in debt, and the newly combined company will likely spend a lot more merging both portfolios on a technical level. In fact, credit rating analysis firm Fitch has already downgraded the combined Skydance’s credit ratings from BB+ to BB, citing “uncertainty about the company’s ability to achieve its stated synergies.”
-Also, Skydance will likely make cuts to its workforce as it merges teams and technologies. Tuesday’s staff memo acknowledged “difficult decisions” will be part of the integration process moving forward.

It’s official, part two: After much speculation earlier this fall, the Emmy Awards broadcast is moving to Amazon’s Prime Video as part of an exclusive six-year deal.
-This marks the first time in 31 years that the televised award show has aired somewhere other than a major broadcast network (NBC, CBS, ABC and Fox).
-The deal includes the Creative Arts Emmys, but not the Daytime Emmys, which are organized by the New York-based National Academy of Television Arts & Sciences rather than the LA-based Academy of Television Arts & Sciences. The two split in 1977 but have recently discussed merging back together.
-TV Academy Chairman Cris Abrego and Prime Video head Mike Hopkins told TheWrap that the deal represents a significant investment on Amazon’s part and will allow the Emmys’ telecast a better opportunity to evolve and market itself with more of an on-demand presence.
–The Takeaway: Streaming services are increasingly taking over the live awards telecast space – Prime Video just nabbed the Emmys, YouTube will have the Oscars in 2029 and Netflix already has the Actor Awards (formerly called the Screen Actors Guild Awards). The trend reflects the increased influence streamers have on the media landscape, as well as the potential impact of diminished ratings for broadcast networks airing live non-sports events.
